Terms Of Service
We offer a Software-As-A-Service platform (“Platform”, “App”, “Frazier”) for audio description. The Platform is provided to you by VIDEO TO VOICE GmbH (“we”, “us”, “our”, “VIDEO TO VOICE”), Andreasstraße 22, 10243 Berlin.
As a registered user, you can upload videos, texts and other information (“Content”) and structure them in “Projects” on our website “app.videotovoice.com”.
We store your Content in accordance with our Privacy Policy, on your behalf and solely for the creation of audio description or voice-over, which are also considered part of your Content.
Specifically, as a registered user, you can use the Service for:
- Scripting for audio descriptions and subsequent export as SRT, VTT, TTML, CSV, or DOCX.
- Speech output using Text-To-Speech technology and download as WAV.
- Automated mixing of the original audio track with the Text-To-Speech audio track and subsequent export as WAV.
- Generating the video with the audio description or automatic mix as MP4.
Modern assistance systems such as Text-To-Speech output, automated speech recognition, and machine translation are available to you. Furthermore, the Platform supports team collaboration and assists with project management.
Acceptance of the Terms of Service
The following Terms of Use govern your use of our services, including but not limited to the website (app.videotovoice.com) and all other applications, tools, data, software, APIs, content, products and services available on or through the website or otherwise provided by us.
Please read these Terms of Use carefully before accessing our website or using any of our services. By accessing the website or using any part of our services, you agree to be bound by these Terms of Use. If you do not agree to all of the Terms of Use, do not access the website or use any of our services.
Account
If you register an account on our site, you are responsible for keeping your account secure, and you are fully responsible for all activities that occur within the account, as well as any other actions taken in connection with your use of our services. You must notify us immediately of any unauthorised use of your account or any other breach of security. We will not be liable for any actions or instances of neglect by you, including damages of any kind incurred as a result of such actions or instances of neglect.
If your account information or content stored on our servers is requested for the purpose of a legal investigation, we will notify you of such a request prior to disclosure unless prohibited by applicable laws.
You may log into your account on multiple devices, but it is not allowed to access and use Frazier with the same account on multiple devices at the same time or share your account with others.
Access to Frazier is on a temporary basis and we reserve the right to withdraw or modify the services or functionality that we provide on Frazier without notice. We will not be liable if, for any reason, Frazier is unavailable at any time or for any period.
It may be the case that we restrict access to some parts of Frazier, or our entire platform, to users who have registered with us. We will take appropriate measures to fix issues and bugs on Frazier as quickly as we can.
You must not misuse Frazier by knowingly introducing viruses, worms, logic bombs, Trojans or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to Frazier, the server on which Frazier is stored or any server, computer or database connected to Frazier. You must not attack Frazier via a denial-of-service attack or a distributed denial-of service attack.
We will report any such breach to the relevant law enforcement authorities and we will cooperate with those authorities by disclosing your identity to them. In the event of such a breach, we reserve the right to immediately prevent you from using Frazier.
Free Trial
If you sign up for the trial version, you can use Frazier free of charge. After the trial period expires, you will be asked whether you want to subscribe. If you do not, your account will be suspended. You will then have 30 days to download your content before your account is deleted.
Subscriptions and Fees
Following the completion of the free trial period, you can continue to use Frazier by taking out a monthly subscription. Plans for Authoring and Production are available. Further information can be found on the pricing page.
The subscription begins on the day you pay for the plan.
If you choose to take out a monthly subscription, you:
- agree to pay the fee indicated on the pricing page.
- agree to pay the corresponding fee (without deduction) in full in advance to us (in GBP, EUR, USD, or the equivalent in your local currency based on the exchange rate at the time of payment) and authorize us to collect the full fee from you each month until you cancel your subscription.
- acknowledge that the corresponding fees are non-refundable.
Downgrading and Upgrading Your Subscription
When you switch between plans, the change takes effect as soon as you have paid for the new plan.
Cancellation
If you cancel your subscription, you will continue to have access to Frazier until your subscription ends. Fees already paid will not be refunded.
Changes to Pricing
We reserve the right to terminate or change the structure of subscriptions at any time, but will inform you of these changes in advance via a message sent to the email address associated with your account.
Stripe
We offer the option of processing the payment process via the payment service provider Stripe, ℅ Legal Process, 510, Townsend St., San Francisco, CA 94103 (Stripe).
The processing of the data provided under this section is not required by law or contract. Without submitting your personal data, we cannot process a payment via Stripe. You have the option to choose another payment method. Please contact support.
If you pay by means of a payment method offered by Stripe that can be selected in the online ordering process, the seller already declares acceptance of your offer at the time you click the button that concludes the ordering process.
Third-Party Providers / External APIs
To implement certain functions, we use external service providers (“Providers”, “Third-Party Providers”) via a so-called “Application Programming Interface” (“API”).
Requests are anonymized in this process. This means that no user-related data is transmitted to the third-party providers. However, by using the corresponding services on Frazier, you agree to the transfer of the following content:
Text-To-Speech
Text-to-Speech is provided via the following providers: Amazon Web Services, Inc. (“AWS”), Microsoft Corporation (“Microsoft”), ElevenLabs Inc (“ElevenLabs”), and Google LLC (“Google”). When using the preview in the browser and when exporting the speech output as a WAV file, the texts are sent to the respective provider and then the speech output is generated. The WAV file is stored as new content in your project.
Content sent to Text-to-Speech providers may serve as training data for the respective provider (AWS, Microsoft, or Google) to improve speech output and is stored internally by the provider.
If you are concerned about this, you cannot use our Service, as Text-to-Speech is a fixed component.
Automatic Speech Recognition
For automatic speech recognition, you can choose between Amazon Web Services, Inc. (“AWS”) and AssemblyAI, Inc. (“AssemblyAI”).
To use this function, the audio track of your video is sent to the provider and the recognized text is stored as a document in your project. Please note that this service incurs additional costs. Contact support@videotovoice.com to find out the current prices for this plugin.
Content sent to AWS for the purpose of automatic speech recognition may be used as training data to improve speech recognition. Content sent to AssemblyAI is not used as training data.
If you are concerned about this, you had better not use this plugin.
Machine Translation
Machine translation is performed by DeepL GmbH (“DeepL”). When you use this function, the text to be translated is sent to DeepL and the translated text is stored as new content in your project.
Content sent to DeepL for the purpose of machine translation is deleted immediately after processing.
If you are concerned about this, you had better not use this plugin.
Hosting
Server Location
The Platform is operated on servers provided by the ISO27001 certified provider Amazon Web Services, Inc. (“AWS”) in the data center located in Frankfurt (Main), Germany.
Processing of Video Material on the Server
Uploaded videos are automatically optimized for playback in the browser. Furthermore, the video and audio tracks are automatically analyzed to display audiovisualization and preview images in the editor. Both processing steps are carried out in the data center in Frankfurt.
Local Mode
It is possible to operate projects in “Local Mode”. In this mode, only the generated texts and the speech output are stored on the Platform.
The video is not uploaded to our Platform but remains on your computer. The analysis of the video then takes place directly in your browser. This may be useful if you do not have permission to upload the material (see also the section “Your Responsibilities”).
Please note that in projects in Local Mode, only scripting is possible. As the original material is not available on the server, neither automatic speech recognition nor an automated mix is possible.
Furthermore, you must optimize the videos for use in the browser in advance. It is recommended to use the MP4 format and encode with H.264 (Video) and AAC-1 (Audio).
Access to Projects
Generally, only you have access to your projects. Employees of VIDEO TO VOICE do not have access to your project data. In selected cases, e.g., for support inquiries, you have the option to grant employees of VIDEO TO VOICE access to your project. This is logged accordingly in the project activities.
Your Content
Our App is not a data storage or backup service. We only store your Content for processing in an active project; you are responsible for the long-term backup of your work.
Your projects and all associated text, audio, or video files will be permanently deleted from our servers 30 days after closing the account. You also have the option to immediately delete a project at any time. When using Text-To-Speech or automatic speech recognition, the limitations mentioned above apply.
However, we will store the metadata associated with your productions in an internal database (e.g., how many hours of video material you have processed). This serves, among other things, for billing the services rendered.
Your Content
VIDEO TO VOICE does not offer a data storage or backup service. We store your content only for processing in an active project; you are responsible for backing up your work in the long term.
Your projects and associated text, audio, and video files are automatically deleted from our servers 30 days after the completion of a project. Alternatively, you can also manually delete a project at any time.
If you use Text-to-Speech or automatic speech recognition, the limitations mentioned above apply. After completion of a project, your content is available for download as a ZIP file for 30 days.
However, we store the metadata associated with your productions in an internal database (e.g., the number of minutes of footage you have processed). This data is used, among other things, for billing purposes.
The audio/video content you submit to us (and all intellectual property rights therein) is your property or that of your licensor.
Your Rights
When you use our Service, you retain all rights you have regarding your Content, including copyright. The only rights you grant us with respect to your Content are for the following two purposes:
for carrying out your projects, so that we can create new text, audio, and video files from your Content according to your instructions.
for the implementation of Text-to-Speech, automatic speech recognition, and machine translation by the third-party providers mentioned above.
We do not share your Content or the metadata associated with or generated from your Content with any third parties. The only exception is the transmission of the aforementioned data to third-party providers when using the Text-to-Speech, automatic speech recognition, and machine translation functions.
Occasionally, we share statistical data about our users’ productions with third parties, but when we do so, the data is presented in an aggregated form that cannot be attributed to any individual user.
New Content created on Frazier can be reused by you without restriction.
Your Responsibilities
If you make any of your Content available through our Service (or allow any third party to make it available), you are entirely responsible for the Content and any harm resulting therefrom. This is the case regardless of whether the Content in question is text, an audio file, or a video file. By making your Content available on our Website or a third-party website through our Service, you represent and warrant that:
the downloading, copying, and use of the Content does not infringe the proprietary rights, including, but not limited to the copyright, patent, trademark, or trade secret
if your employer has intellectual property rights in anything you create, you have either:
- received permission from your employer to make the Content available, or
- obtained a waiver from your employer as to all rights in or to the Content
- you have fully complied with any third-party licenses relating to the Content and have taken all steps necessary to successfully pass through to end users any required terms
- the Content does not contain or install any viruses, worms, malware, Trojan horses or other harmful or destructive content.
- Without limiting any of those representations or warranties, we have the right (though not the obligation) in our sole discretion to:
- refuse or remove any content that, in our reasonable opinion, violates any of our policies or is in any way harmful or objectionable, or
- terminate or deny access to and use of the Platform to any individual or entity for any reason.
- Changes and Termination of a Service
Without limiting any of these representations or warranties, we have the right (though not the obligation) in our sole discretion to:
- refuse or remove any content that, in our reasonable opinion, violates our policies or is in any way harmful or objectionable
- or terminate or deny access to and use of the platform to any person or entity for any reason.
Modification to and Termination of a Service
We modify and optimise Frazier on an ongoing basis. For example, we may add, adjust or remove features - or introduce or change restrictions on our services - taking into account the interests at stake.
If we discontinue our service, we will - to the extent possible - inform you in advance and give you the opportunity and sufficient time to export your data from this service, taking into account the respective interests.
If a third-party provider discontinues a service, we will inform you immediately and, taking into account the respective interests, endeavour to find an adequate replacement.
Disclaimer of Warranties
The services are provided “as is”.
We and the third-party providers hereby disclaim all warranties of any kind; express or implied, including, but not limited to, the warranties of merchantability, fitness for a particular purpose, and non-infringement.
Neither we nor the third-party providers guarantee that the website will be error-free or that access to it will be continuous or uninterrupted. You understand that you download or otherwise obtain content or services from our website at your own discretion and risk.
Copyright Infringement
We respect the intellectual property rights of others. If you believe that any material located on Frazier or linked to our website infringes your copyright, you should notify us. We will respond to all notices, and if necessary or appropriate, remove the infringing material or disable all links to the infringing material.
We will terminate a user’s access if the user is found to be a repeat infringer of the copyrights or other intellectual property rights of us or others.
